Terms of Service Agreement:

1. Acceptance of Terms
By accessing and/or using the services provided by 31 ARCH (the “Designer”, and/or the “Website"), you (“You” and/or “Client” and/or “User”) agree to comply with and be bound by these Terms of Service. Terms and conditions from any other agreements with Designer shall also apply and maintain full force and effect.

2. Payments
All payments made to Designer are final, non-refundable, non-exchangeable, and non-transferable.

Payments shall be made by Client immediately, or within five (5) business days of electronic submission to Client of a request for payment or an Invoice. Each Invoice will provide a description of the related charges, including, without limitation, the amount owed to Designer. Client shall be permitted to make payment to Designer by ACH payment, wire transfer, or credit card. Designer reserves the right to charge late invoices or payments to any of Client’s payment method on file.

A late fee of five percent (5%) shall accrue weekly on any amounts due hereunder which are not paid after fourteen (14) days of such amounts becoming due (“Late Fee”). The Late Fee shall continue to accrue until such overdue amounts (including the Late Fee) are paid in full to Designer. Client shall be responsible for any reasonable costs incurred by Designer in collecting any and all amounts overdue amounts from Client, including without limitation, attorneys’ fees.

If payments are not timely received, Designer may elect, at it’s sole discretion, to suspend performance of the Services without cost or penalty to Designer.

Client shall not for any reason seek to cancel, chargeback, or otherwise seek a refund any amounts paid to Designer by Client at any time, pursuant to this Agreement.

3. Intellectual Property
All content and materials on the Website, including text, graphics, logos, and images, are the property of 31 ARCH and are protected by intellectual property laws. You may not use, reproduce, or distribute any content from the Website without the express written consent of 31 ARCH.

4. Privacy Policy
Your use of the Website is also governed by our Privacy Policy, which can be found below. By using the Website, you consent to the terms of the Privacy Policy.

5. Dispute Resolution
Any disputes arising from the use of the Website shall be resolved through Designer’s choice of either arbitration, mediation or court proceedings, in the New York county selected by Designer.

31 ARCH is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Website. We make no warranties, express or implied, regarding the accuracy or reliability of the Website. You agree to use the Website in accordance with all applicable laws and regulations. 7. Termination
